These terms govern your use of Ledger, an invite-only app for recording informal debts between people, operated as a sole proprietorship in Ohio, United States ("Ledger", "we", "us"). By creating an account you agree to them.
SMS messaging terms
What we send
Ledger sends one-time verification codes by SMS so we can confirm a phone number belongs to the person using it, when you create an account and when you sign in. These messages are transactional and account-related. We do not send marketing or promotional messages.
Consent
You opt in by entering your mobile number in the Ledger app and requesting a verification code. Consent to receive these messages is not a condition of any purchase. We will not send you messages for any other purpose, and we will not share your number with anyone who would.
Message frequency
Message frequency varies and depends on your own activity — typically one message per sign-in or account-creation attempt. We do not send unsolicited messages.
Message and data rates may apply.
Reply STOP to any message to opt out of further messages. Reply HELP for help, or email developer@l3dger.xyz.
Carriers are not liable for delayed or undelivered messages.
Because verification codes are how you sign in, opting out of SMS may prevent you from accessing your account. You can opt back in at any time by requesting a new code in the app.
Supported carriers may change without notice. How we handle your number is described in our Privacy Policy.
Using Ledger
Ledger is a record, not a payment service
Ledger does not move, hold, transfer or process money. It records what people say they owe one another. Marking a debt as paid in the app is a note that a payment happened elsewhere — it does not itself transfer any funds.
We are not a bank, money transmitter, payment processor, escrow agent or lender, and we are not a party to any debt recorded in the app. Debts between users are entirely between those users.
Your account
- You need a valid invite to join, and each invite works only once.
- Use your real name, so the people you transact with can identify you.
- Keep your password confidential. You are responsible for activity under your account.
- You must be at least 13 years old.
How entries work
By default you may only record entries that count against you — a debt you owe, or a payment you received. Entries that would count in your favour are sent to the other person as a request, and take effect only once they agree. If two people add each other as friends, both may record entries between them directly without approval.
Entries cannot be edited or deleted, because balances are recalculated from the complete history. A mistaken entry is corrected by adding a reversing entry, which leaves both visible.
Ledger cancels out circular debts across the group, so what you owe or are owed may be reduced by entries between other members.
Acceptable use
You agree not to:
- Record entries you know to be false, or use the app to harass, coerce or defraud anyone.
- Use Ledger for lending as a business, for interest-bearing loans, or for anything illegal.
- Attempt to access another person's account or data, or probe, scrape or disrupt the service.
- Impersonate anyone, or share invite codes with people your group has not agreed to admit.
Accuracy and disputes
We do not verify that any recorded debt or payment reflects reality. The record is only as accurate as what users enter. Disputes about whether money is owed or was paid are between the users involved; we are not an arbiter and cannot adjudicate them.
Availability
Ledger is provided as-is and may be unavailable, interrupted, or changed at any time. We may add, remove or alter features, and we may suspend or terminate an account that breaches these terms.
Disclaimers and liability
To the fullest extent permitted by law, Ledger is provided without warranties of any kind, express or implied, including fitness for a particular purpose and accuracy of data.
To the fullest extent permitted by law, we are not liable for any indirect, incidental or consequential damages, for money lent or lost between users, or for any debt recorded in the app. Nothing here limits liability that cannot lawfully be limited.
Ending your use
You may stop using Ledger at any time and ask us to delete your account by emailing developer@l3dger.xyz. Entries between you and other people are retained in anonymised form, because they form part of someone else's record.
Changes to these terms
We may update these terms. Material changes will be reflected in the date at the top of this page and notified in the app.
Governing law
These terms are governed by the laws of the State of Ohio, United States, without regard to its conflict of law rules.
